But as we noted the company sold two and a half million dollars of Bitcoin after selling almost 12 million dollars of the token in late 2022. Obviously two and a half million dollars is nothing when you can compare to its overall holdings of about 60 billion dollars in Bitcoin. But Adam this comes at a pretty sensitive moment for Bitcoin and market psychology. Is Bitcoin maximalism dead. No he presaged it by talking about it on recent interviews and it was really just to convey to the market that they have the ability to pay or it doesn't even pay the monthly interest right on the stretch instrument but to convey to the market the look you can sell Bitcoin and pay dividends with it. You may recall a while back they saw a lot of shares at the market and kept the cash to demonstrate to the market that they had a lot of cash to pay the dividends and now they wanted to show that they could pay the dividends using Bitcoin and indeed they used that cash or a good part of it to buy back one of the convertible notes and reduce their debt ratio so I think it's just you know trying to show the market how to value Bitcoin, that Bitcoin is liquid and therefore to not need to keep that kind of cash reserve around in future.

Luckily for you, I have PRE-EMPTED their RIDICULOUSLY STUPID ATTACKS and I am DESTROYING the MSTR DILUTION FUD once [Spoken audio]: Good day everyone. Happy Sunday. My name is Adam Livingston and I am the Bitcoin Wizard. Today we're going to be doing something very fun. We will be debunking the MSTR dilution fud because tomorrow, on Monday, you are going to hear a lot of the dilution fud from people who either have no idea what they are talking about or people who are just bad actors and like to spread fud. I've seen so many brain dead takes on Bitcoin X today. I'm about to lose my mind and we're gonna try something different. I'm gonna try to draw it all out for you today because I'm sick of using the slides. Maybe I can explain it better if I am doing crackhead MS paint drawings for you. This is going to be a very fun video for you today because what I'm gonna do is I'm going to explain things from first principles. So this can be an evergreen video that will actually debunk all of the dilution fud that ever comes out about strategy. It'll be all here in this one video. You can bookmark it, share it with your friends. I will absolutely eviscerate the bear arguments from these clowns. They will help you every single step of the way. So the first thing that all of the critics are going to point to is point to something called Bitcoin per share. And strategy likes to report this KPI as something called BTC yield, which essentially is a KPI, a key performance indicator, which shows you your increase in Bitcoin per share ownership over time. This is an incomplete metric. And this is what the bears are latching onto. They are misleading you. I'm gonna tell you why. And the reason why is because when we just look at the phrase here, it's very simple. Bitcoin per share, it's telling you exactly what it is. There are two things. You are looking at Bitcoin and you are looking at the shares. It's only two different things in that equation. Very simple to understand. But let's think back on 2024 MSTR today versus 2026 MSTR. These are very two different things that we're dealing with here today. 2024 MSTR, you know, before the digital credit got here, before all of the perpetual preferred equities, it was a very simple strategy. There were a few things at play. We know in 2024 that MSTR, they definitely had Bitcoin. Absolutely. That was one of the things that they had on their balance sheet. And then they also used convertible debt so they had Bitcoin and then they had debt so if you want to calculate things you also got to remember obviously they also had shares so in 2024 it was very simple they took out debt they bought Bitcoin and then that would be divided amongst the shares and it was a pretty simple equation here but now it's 2026 things are a bit more complicated and they added a couple things into the business obviously now we have the preferred shares or we could call that the senior shares, whatever your preferred terminology. So we had the preferreds now and then on top of that, now we also have the USD cash reserves. So basically, in order to tell an entire story, the full picture, looking at the entirety of the capital structure, this is why Bitcoin per share does not tell you the entire story because now there is a more complicated capital structure. So let's use an analogy that would help you understand this even more, why Bitcoin per share is not telling you whether or not the MSTR shareholders are being economically deluded. Let's look at a real estate company analogy to make it super simple. Company A has 100 houses and 100 shares. Company B also, same exact thing, has 100 houses, 100 shares. If you do the math, both companies, company A and company B, they both have one house per share. Very easy to understand. But now let's imagine that this is not telling the entire picture, let's just say that company B, they also have something else on their balance sheet. Let's also say that they have $10 billion in cash. And then in addition to that, let's say that they have, I don't know, 1 million Bitcoin. So let's just say that they have $64 billion in BTC. Now, obviously, those two companies, now they have different balance sheets. So this is my question to you. Would houses per share be the best way to calculate the residual, what the common stock shareholder is economically exposed to. Absolutely not. That would not tell the entire story. That is why the clown bears who continue looking at Bitcoin per share, they are not looking at the entirety of the capital structure. They are obfuscating the truth by not actually showing you everything. But thankfully, I will show you everything because I like to be objective. So we're going to talk about something called CEBE, which is Common Equity Bitcoin Exposure. This is the methodology that I like to go through to find out what the MSTR shareholders like myself, what we are economically exposed to per share that we have. So here we go. We have CEBE Common Equity Bitcoin Exposure. It's in the name. What a beautiful phrase. This shows you the entirety of the capital structure, not just Bitcoin per share while ignoring the USD reserve while ignoring the senior claims that are on the balance sheet. Because Bitcoin per share doesn't tell you anything about the debt or the other preferred shares, it's just Bitcoin and the MSTR shares. That's not fair. So burn this into your brain because this is what you need to know so you know you're not getting deluded and screwed. Common equity. Bitcoin exposure. There it is. Burn it into your brain right now. So what is the major complaint from the bears? They are saying that Michael Saylor and Strategy, they continue to sell MSTR below one MNAV. But obviously, you know, there are different ways to calculate MNAV. So what are the bears doing right now? How are they misleading you? They are using the market cap or basic MNAV. So the market cap of Strategy right now is exactly $40 billion. It's that simple. that is our market cap today. And that is the total value out of all the basic shares outstanding. So you take all of the basic shares, then you would multiply that by the price that the stock is trading at, then you get a $40 billion market cap. And then to get the MNav, they would take that and divide it by the Bitcoin reserve. If you look at the Bitcoin reserve right now, strategy has about $54.2 billion of Bitcoin. So obviously, we're going to go ahead and divide that. Very simple. Simple division problem divided by 54.2 billion of Bitcoin. So when you're looking at things through a basic MNAV standpoint, this is actually what the result is. It's very simple. This is what the math is telling you, the simple division problem is a 0.73 MNAV. So when you look at all the value of the basic shares and you divide it by the Bitcoin that they have, they are trading under the one MNAV. there is no denying that nobody's trying to hide it. Now the reason why this is misleading is because it ignores the capital structure. Remember, the common equity, the MSTR shareholders, they're not exposed to the gross Bitcoin in a vacuum. The common equity is economically exposed to what remains after the senior claims that are on the balance sheet when you take everything into account. So we are going to use CEBE Common Equity Bitcoin Exposure. So it's this simple. We take the Bitcoin plus the cash and we would divide that by the Bitcoin price to put everything in Bitcoin terms, make it all easy. And then you would subtract the outstanding debt and the preferred stock. It's that simple debt and the prep. And then you divide that by the Bitcoin price too. So this is the current state of the balance sheet right here. Then we can go ahead and put everything in Bitcoin terms to make it easy. You guys can see that the current outstanding senior BTC because remember we're putting everything in senior claim terms here because the debt and the preferreds those are senior to you if you hold MSTR they have 22.19 billion dollars about standing prefs and debt and we're going to divide that by the current bitcoin price of 64,390 and then if we take that result and look at the actual math on the balance sheet we could then say that there is 344,616 senior Bitcoin to the MSTR Bitcoin. And this is intuitively true because you know it would be different in your personal life if you had 100 Bitcoin to your name or if you went out and took out a loan to buy that 100 Bitcoin, but you still have a senior claim. That is what we are trying to differentiate here. So we have the senior Bitcoin with the debt in the press, but then we need to do the cash in terms as well. If you take the $1.1 billion of cash and divide that by the Bitcoin price, there is 17,083 Bitcoin. In Bitcoin terms, that would be a Bitcoin equivalent. And that's important because cash is not senior. Cash is just another balance sheet asset. Very important. You must remember that. So now we have the total Bitcoin. We have the senior claim Bitcoin and we have the cash in Bitcoin terms. Now we can find out what you are actually economically exposed to as an MSTR shareholder when we are accounting for the entirety of the capital structure. It's very simple. We take the total amount of Bitcoin right here, this 846,842 Bitcoin. Then we are going to add the cash equivalent Bitcoin. And then we are going to subtract that senior claim Bitcoin. Because remember, you are economically exposed to the cash in the Bitcoin, but not the senior claims on the balance sheet. So you have 846,842 Bitcoin. Then you would add the amount of Bitcoin that is the cash equivalent. and then you would subtract the senior claim Bitcoin. And then you would get your final result, which would be the common equity BTC equivalent exposure, which is 519,309. So we have 519,309. We'll call it the common equity Bitcoin exposure because that's what it is. Remember the bearers and the critics, they are looking at the basic MNAV, just the market cap and ignoring the entirety of the capital structure. But accounting for everything, we would then take this number right here and divide it by the outstanding basic shares. So we would divide that by the 356.32 million outstanding basic shares. And then you would calculate your SATS per share number. This is the actual math. There is 145,742 SATS per common share. I should just say MSTR share. You know what I'm talking about. So we know that with SATS, This is what that actually looks like in BTC terms here, one for five, seven for two. And then if we multiply that by the current Bitcoin price, that will really help us here. This result is going to tell us the residual Bitcoin equivalent net asset value per share that you are actually exposed to as an MSTR shareholder, this math right here. And it is $93.84. That is the residual Bitcoin equivalent. So the residual is simply a word that means the leftover after the senior claims, then obviously you would take the Bitcoin, multiply it by the Bitcoin price, and then you have the $93.84. That is the net asset value per share that you are economically exposed to as an MSTR shareholder right now. You might notice something, that $93.84, that is below what the stock is trading at. What does that mean? It means that the true MNAB for you, the MSTR shareholder, it's not that 0.73X, it's something better. Let's do the math. The MSTR stock price closed at $112.53 on Thursday. So we're just gonna take that, divide that by the residual exposure of $93.84. So you have your true MSTR MNAB when you look at the entirety of the capital structure at a 1.2X MNAB right now. not 0.73, when you look at everything, the common equity Bitcoin exposure, this is your true MNAV right now, a 20% premium. So now can you kind of see where their bears are going wrong? They're just looking at the market cap MNAV, they're only looking at the Bitcoin per share. So they will ignore all of the cash that is raised, even though you are economically exposed to it. They will ignore the cash, they'll only look at the Bitcoin and the shares, then they'll look at Bitcoin per share, say that you're being deluded. but you're not being economically diluted because of that 1.2x true MNAV number. So let's assume that strategy sells $200 million of MSTR at that exact same stock price at that 1.2x CEBE true MNAV. That means to find the number of new shares that are issued, you would take the $200 million, divide that by the $112.53 and you would find out that they would issue about 1.78 million shares. And let's say that they want to allocate Half of that to cash and half of it to Bitcoin. Number one, obviously they always buy Bitcoin. And then number two, they probably want to bolster the USD reserve as well. So that means half cash, half Bitcoin, $100 million each. And that's what this would look like $100 million to Bitcoin. You would divide that by the Bitcoin price. That would be about 1,553 Bitcoin. And then obviously if you're retaining it as cash and you want it to calculate it as a Bitcoin equivalent, that same value, it would be the 1,553 BTC equivalent obviously. So that would mean the numerator in the equation, that would increase by 1,553 and also 1,553 again. And that would equal 3,106 BTC equivalent of exposure. Because you, the MSTR shareholder, you are economically exposed to the Bitcoin as well as the cash. And if you convert it to the BTC equivalent terms, it's very simple. This is the old SATS per share number. When you divide it by all of the basic shares outstanding, remember the common equity Bitcoin that we had was 519,000. Divide that by the 356 million shares. There you go. The old CEBE would be 145,742 sats per share. And the new common equity Bitcoin equivalent would be 145,886 sats per share. 886 is more than 742. That is textbook accretion, not economic dilution. That is plus 144 sats per share. When selling MSTR at this premium, the MSTR shareholders have a bigger economic exposure claim on the balance sheet than before when issuing MSTR at this level. It's mathematically undeniable. The bears are lying to your face. They are spreading FUD and nonsense. They continue to look at the Bitcoin and the shares acting like they're telling you the whole story, but obviously they won't do all of the math like me because then they would expose that they have zero credibility and they can't compete with the logic of the Bitcoin wizard. Why does everyone hate on Michael Saylor? I stay fairly involved to Bitcoin and MSTR discussions, but I never understand the hate for Michael Saylor. I get the initial suspicion, as he was convicted for securities fraud in the early 2000’s, and that he has somewhat delusional takes, but he’s not really a short term bull. Most of his keynote speeches involve him saying that Bitcoin needs to take up 1% of global capital, but it may take the world 10+ years to get there. I find that a lot more bearish than most of what I read on the Bitcoin forums. What he says isn’t really too crazy. If Bitcoin can get adopted by the store of value category (Real Estate, Art, Gold, etc..) than I don’t think it’s far fetched to see Bitcoin become a $10 trillion asset within the next 10 years or so. There's a doctrinal schism among MicroStrategy bitter-enders because on the one hand they have this LARP where dollars are dirty & value should be denominated in $BTC , but on the other hand they own $MSTR , an equity quoted in dollars, that they hope will appreciate, in dollars.

Is bitcoin a PONZI? Or just a lame speculation game. People constantly called a Ponzi scheme, but I think about Ponzi scheme more as someone cooking the books to make FAKE returns USING MONEY FROM NEW INVESTORS. I definitely think bitcoin is a very stupid speculative “asset” but not a Ponzi scheme. Maybe MSTR is the Ponzi scheme.
